These Terms of Service (“Terms”) govern your access to and use of the web application and related services provided by SkillSiteAI (“we”, “us”, or “our”) (the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
Important notice
These Terms are drafted for general commercial use in Kenya. They are not a substitute for legal advice. You should have them reviewed by a qualified advocate to ensure they align with your product, pricing, liability profile, and regulatory position (including sector-specific rules, consumer protection, and data protection obligations).
1. Eligibility and authority
You must be at least eighteen (18) years old and capable of entering into a binding contract under Kenyan law. If you use the Services on behalf of a company, partnership, or other organisation, you represent and warrant that you have authority to bind that entity, and “you” includes that entity.
2. Description of the Services
The Services provide tools to configure email-related routing information, including user-defined routing classes, default fallback destinations, and multiple chat recipients associated with an incoming mailbox address you specify. The Services may expose configuration through authenticated dashboards and, where implemented, read-only public endpoints for retrieval of routing metadata. Unless expressly agreed in writing, we do not warrant uninterrupted availability, error-free operation, or that the Services will meet every operational requirement of your organisation.
3. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us promptly of any unauthorised access or security incident. We may suspend or disable accounts where we reasonably believe there is a security risk, fraud, or breach of these Terms.
4. Your configuration and acceptable use
You are solely responsible for the accuracy and lawfulness of routing configuration you enter (including email addresses and class labels). You must not use the Services to violate any law, infringe third-party rights, distribute malware, send unsolicited commercial communications in breach of applicable rules, harass individuals, or engage in deceptive practices. You must not attempt to gain unauthorised access to our systems, other users’ accounts, or third-party systems, or to probe, scan, or test the vulnerability of the Services without our prior written consent.
You acknowledge that email routing and downstream automation may involve third-party providers and regulated communications. You remain responsible for compliance with applicable telecommunications, marketing, employment, tax, financial services, health, and sector-specific laws when using the Services as part of your workflows.
5. Intellectual property
We and our licensors own all rights, title, and interest in and to the Services, including software, branding, documentation, and aggregated analytics that do not identify you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during your subscription or access period. You must not copy, modify, reverse engineer (except to the limited extent permitted by mandatory law), frame, or resell the Services.
You retain your rights in data and configuration you supply. You grant us a worldwide, royalty-free licence to host, process, transmit, display, and back up such content solely as necessary to provide and secure the Services and as described in our Privacy Policy.
6. Fees and taxes
If we charge fees, the amount, billing cycle, and payment method will be presented at checkout or in an order form. Unless stated otherwise, fees are exclusive of value added tax, withholding tax, or other levies imposed under Kenyan or applicable law, which you shall pay where required. Failure to pay may result in suspension or termination of access.
7. Third-party services
The Services may interoperate with third-party email, hosting, or automation platforms. Your use of third-party services is governed solely by your agreement with those providers. We are not responsible for third-party acts or omissions, downtime, or policy changes.
8. Disclaimers
To the fullest extent permitted by the Law of Contract Act (Cap 23) and other applicable Kenyan law, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
9. Limitation of liability
To the fullest extent permitted by Kenyan law, neither we nor our directors, officers, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity, arising out of or in connection with these Terms or the Services, even if advised of the possibility of such damages.
Our aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amounts you paid us for the Services in the three (3) months immediately preceding the event giving rise to liability, or (b) where no fees have been paid, ten thousand Kenyan Shillings (KES 10,000). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Kenyan law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
10. Indemnity
You will defend, indemnify, and hold harmless SkillSiteAI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable advocates’ fees) arising out of or related to your use of the Services, your configuration data, your violation of these Terms, or your violation of applicable law or third-party rights.
11. Suspension and termination
We may suspend or terminate access to the Services immediately if you materially breach these Terms, create legal or security risk, or fail to pay amounts due. You may stop using the Services at any time. Upon termination, your right to access ceases; provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution) will survive.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms by reference.
13. Force majeure
We will not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, epidemics or pandemics, infrastructure or telecommunications failure, or cyberattacks not caused by our gross negligence.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. Subject to mandatory provisions of Kenyan law, the courts of Nairobi, Kenya shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms or the Services, and you submit to that jurisdiction.
Before initiating court proceedings, the parties agree to attempt in good faith to resolve disputes through senior management negotiation for a period of thirty (30) days following written notice of the dispute.
15. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any order form or written addendum signed by both parties, constitute the entire agreement between you and us regarding the Services and supersede prior oral or written understandings.
